Topic 4  «Company Law».

This topic of the course is central.  It deals with the nature of legal entities, their capacity, limitation of liability, main features and comparative characteristics; the function and the conduct of the general meeting of shareholders and the board of director's meeting in limited liability companies (LLC) and joint-stock companies (J-SC), as well as their powers. The lectures dedicated to the Company Law of Russia as well examine the way in which potential abuse of majority power may be prevented or remedied, show the ways in which insolvent companies may be dealt with, examine legal requirements controlling setting up of a legal entity, take an overview of legal obligations of management in relation to the administration of a company.

Summary: Types of legal entities, such as commercial and non-commercial legal entities, partnerships and companies, limited liability or additional liability companies, general partnerships, production cooperatives, state and unitary enterprises, companies limited by stakes (LLC) or companies limited by shares (J-SC), open and closed J-SC. Similarities and differences among all types of companies and partnerships, their capacity and main features. Constituent documents of the legal entity, their content. Necessary steps to be undertaken to settle down a company; package of constituent documents which a legal entity must submit to the local department of the Tax Service to be registered.
